1. Introduction

These Terms and Conditions of Engagement (“Terms”) govern all products, services, memberships, consultancy, commissions, workshops, events, digital materials, licences, and engagements provided by GLAS Group Ltd (“GLAS”, “we”, “us”) to clients, members, participants, licensees, and partners (“you”).

By purchasing, downloading, commissioning, licensing, accessing, or otherwise engaging with any GLAS product or service, you confirm that you have read, understood, and agree to be bound by these Terms.

All instructions to proceed with work and projects are subject to the latest version of these Terms, unless expressly agreed otherwise in writing.

3. Scope of Engagement and Delivery

GLAS provides services and products through multiple forms of delivery. Engagement may include, but is not limited to:

a. Memberships and Community

  • LEAPERS Club

  • LEAPS cycles, playbooks, and related learning structures

b. Digital Products and Resources

  • GLAS Vision Library downloads

  • GLAS Vision Originals

  • Digital packs, diagrams, frameworks, written and visual materials

c. Packs and Services

  • GLAS Foundation Packs

  • GLAS Passport Pack and associated services

d. Consultancy and Commissions

  • Family Charters (GLAS Blueprint), including consultancy and commissioned outputs

  • Strategic consultancy and advisory work

  • Visual commissions including visual thinking, mapping, synthesis, and illustration

  • Leadership and organisational development work

e. Sessions, Workshops, and Events

  • Individual and group sessions

  • Leadership development workshops

  • Online and in-person workshops and events

The scope, format, and deliverables of any engagement will be agreed in writing in advance.

4. External Providers

Where GLAS engages or recommends third-party providers, those providers operate under their own terms and conditions. GLAS accepts no liability for loss or damage arising from third-party services.

GLAS reserves the right to change external providers without notice.

5. Consultancy, Projects, and Commissions

Consultancy, projects, and commissions will be defined through written proposals, scopes, or agreed instructions.

Instruction to proceed, whether written or implied through confirmation or payment, constitutes acceptance of the contract.

GLAS provides strategic, visual, and facilitative services. Responsibility for decisions, implementation, and outcomes remains with you.

6. Fees, Pricing, and Payment

All prices are exclusive of VAT unless stated otherwise.

Unless otherwise agreed in writing:

  • Digital products, downloads, and packs are payable in advance

  • Consultancy and commissioned work is invoiced monthly and payable within 30 days

  • Membership fees recur according to the agreed billing cycle

Late payment may result in suspension of access or delivery.

7. Cancellations and Refunds

a. Digital Products and Packs

All digital products, downloads, and packs are non-refundable once accessed or delivered.

b. Consultancy and Commissions

Cancellation terms will be set out in the relevant proposal or scope. Work completed up to the point of cancellation remains payable.

c. Events, Sessions, and Workshops

Unless otherwise stated:

  • More than 28 days’ notice: full refund

  • 14–27 days’ notice: 50% refund

  • Fewer than 14 days’ notice: no refund

Some events may have specific terms which will supersede this section.

8. Intellectual Property

a. Ownership

All intellectual property created, developed, or provided by GLAS, whether before or during any engagement, remains the exclusive property of GLAS Group Ltd, unless expressly agreed otherwise in writing.

This includes, without limitation:

  • Frameworks, methods, models, and systems

  • Visual structures, diagrams, maps, and compositions

  • Language systems, terminology, and written materials

  • Digital products, packs, downloads, and workshop content

  • Consultancy outputs, including Family Charters (GLAS Blueprint)

  • Strategic and visual commissioned work

GLAS retains all rights, title, and interest in its intellectual property at all times.

b. Trade Marks

GLAS Group Ltd owns the following registered trade marks:

  • GLAS Method®

  • GLAS Vision®

  • Buddies Talk®

  • Enriched Life Operating System®

GLAS Group Ltd also owns unregistered trade marks and brand identifiers, including:

  • The 7 Elements of GLAS

  • GLAS Blueprint

  • GLAS Passport

  • LEAPERS Club

  • LEAPS

Nothing in these Terms grants you any ownership, licence, or rights in GLAS trade marks except where expressly agreed in writing.

c. Copyright and Protection of Systems and Visuals

All GLAS materials are protected by copyright.

Copyright subsists in:

  • The structure, logic, sequence, and application of the GLAS Method®

  • Visual frameworks, diagrams, maps, and graphical representations

  • Written explanations, language systems, and content

  • Digital products, packs, and workshop materials

  • Strategic and visual consultancy outputs

Copyright protection applies regardless of format, medium, or method of reproduction.

You may not copy, reproduce, redraw, adapt, translate, digitise, reverse-engineer, or create derivative works from GLAS materials, whether in whole or in part, without prior written consent.

Re-expression, re-formatting, or visual reinterpretation does not constitute original work and remains a derivative use of GLAS intellectual property.

d. Licensed Use of Intellectual Property

GLAS may grant specific licences for the permitted use of its intellectual property and/or visual materials.

Any licence:

  • Is granted only by written agreement

  • Is subject to separate licence terms and conditions

  • May require a formal application and approval process

  • Is limited in scope, duration, territory, and purpose as expressly stated

Unless a licence is expressly granted in writing, no rights to use GLAS intellectual property are conferred.

Where a licence is granted, these Terms continue to apply except where expressly varied by the licence agreement.

9. Permitted Use

You may use GLAS materials for your own internal learning, reflection, and application only.

Permitted use does not include licensed use, which is governed separately under written licence agreements issued by GLAS.

10. Liability

GLAS does not provide legal, financial, medical, or regulated advice.

To the fullest extent permitted by law, GLAS shall not be liable for indirect or consequential loss arising from use of its services or materials.

Nothing in these Terms limits statutory rights.

11. Data Protection

GLAS acts as Data Controller and Processor in accordance with applicable data protection legislation. Further details are set out in our Privacy Policy.

12. Website Use

While reasonable care is taken, GLAS accepts no liability for reliance on website content. Transmission of data online is at your own risk.

13. Force Majeure

Neither party shall be liable for delay or failure caused by events beyond reasonable control.

14. Variation

GLAS may update these Terms from time to time. The most recent version will apply.

15. Governing Law and Jurisdiction

These Terms are governed by English law. The courts of England and Wales have exclusive jurisdiction.

16. Entire Agreement

These Terms constitute the entire agreement between you and GLAS and supersede all prior versions unless expressly agreed in writing.

17. Brand Use

Use of GLAS logos, branding, or marks is not permitted without written permission. Brand assets must not be altered.
